Welcome to BAC Science. These Terms of Service (“Terms”) govern your access to and use of bacscience.com (the “Site”) and your purchase or use of products and services offered by BAC Science (“BAC Science,” “we,” “us,” or “our”).

By accessing the Site, creating an account, placing an order, purchasing a product, or otherwise using our services, you agree to be bound by these Terms, our Privacy Policy, Return & Refund Policy, and any other policies or notices posted on the Site.

If you do not agree to these Terms, do not use the Site or purchase our products.

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to purchase products from BAC Science.

By placing an order, you represent and warrant that:

  • You are at least 18 years of age;

  • The information you provide is accurate and complete;

  • You are legally permitted to purchase the products ordered;

  • You will use the products only for lawful purposes and in accordance with all applicable laws and regulations; and

  • You have reviewed and agree to these Terms and all applicable product information and warnings.

We reserve the right to refuse service, reject an order, restrict access, or cancel an account where permitted by law.

2. Research Use Only

Certain products offered by BAC Science may be designated For Research Use Only (“RUO”).

Unless expressly stated otherwise on the applicable product page, products designated RUO are sold exclusively for laboratory, analytical, educational, or other legitimate research purposes.

RUO products are not intended for human consumption, human use, therapeutic use, diagnostic use, or veterinary use.

By purchasing an RUO product, you represent and warrant that:

  • You understand that the product is designated for research use only;

  • You will use the product solely for lawful research or laboratory purposes;

  • You will not ingest, inject, administer, consume, apply, or otherwise introduce the product into any human or animal;

  • You will not use the product to diagnose, treat, cure, mitigate, or prevent any disease or medical condition;

  • You possess the knowledge, facilities, procedures, and equipment reasonably necessary to safely handle the product;

  • You will comply with all applicable federal, state, local, and other laws and regulations concerning possession, storage, handling, use, and disposal; and

  • You accept responsibility for determining whether your intended purchase and use are lawful and appropriate.

BAC Science does not provide medical advice, treatment recommendations, dosing instructions, or instructions for human or veterinary administration of RUO products.

3. No Medical Advice

Information appearing on the Site is provided for general informational, educational, laboratory, and research-related purposes only.

Nothing on the Site should be interpreted as medical advice, diagnosis, treatment advice, prescribing information, or a recommendation to use any product for a medical purpose.

BAC Science does not establish a physician-patient, healthcare-provider-patient, veterinarian-client-patient, or similar professional relationship through the Site.

Questions concerning personal health, diagnosis, treatment, or medications should be directed to an appropriately licensed healthcare professional.

4. Product Information

We attempt to provide accurate product descriptions, specifications, photographs, testing information, certificates, and other information.

However, product information may be updated periodically, and minor variations may occur between batches, packaging, labels, photographs, specifications, or other representations.

Customers are responsible for reviewing the product label, specifications, documentation, warnings, and other information accompanying the actual product before use.

We reserve the right to correct errors, inaccuracies, or omissions and to update product information without prior notice.

5. Certificates of Analysis and Testing Information

Where BAC Science provides certificates of analysis (“COAs”), laboratory results, specifications, or other testing information, such information applies only to the product, sample, lot, or batch identified in the applicable documentation.

Testing results should not be interpreted as approval of any use that is prohibited by the product labeling or these Terms.

The availability of analytical or laboratory testing information does not convert an RUO product into a drug, medication, therapeutic product, medical device, or product approved for human or veterinary use.

6. Orders

All orders are subject to acceptance and availability.

BAC Science reserves the right to:

  • Accept or reject any order;

  • Limit quantities;

  • Cancel orders;

  • Correct pricing or product-information errors;

  • Request additional information before accepting an order; and

  • Refuse transactions that we reasonably believe may involve fraud, unlawful activity, prohibited use, resale inconsistent with applicable requirements, or violation of these Terms.

An order confirmation does not necessarily constitute final acceptance of an order.

7. Pricing and Payment

Prices are displayed in U.S. dollars unless otherwise stated.

Prices, promotions, availability, and product offerings may change without notice.

You agree to provide current, complete, and accurate billing and payment information.

By submitting payment information, you represent that you are authorized to use the selected payment method and authorize the applicable charges associated with your purchase.

Applicable taxes, shipping charges, and other fees may be added to the purchase price.

8. All Sales Final

All sales are final.

Due to the nature of our products and our product-integrity and quality-control requirements, BAC Science does not generally accept returns, exchanges, or refunds after an order has been placed.

Exceptions may apply where required by law or where BAC Science determines that an order was damaged, defective, or fulfilled incorrectly.

Our complete Return & Refund Policy is incorporated into these Terms by reference.

Customers should carefully review their orders before completing a purchase.

9. Order Cancellations

Orders may enter processing shortly after being submitted.

Once an order has entered processing or fulfillment, it may not be canceled or modified.

If you believe an order was submitted in error, contact BAC Science immediately. We may attempt to assist before processing begins, but cancellation or modification is not guaranteed.

10. Shipping and Delivery

Shipping and delivery dates are estimates unless expressly guaranteed in writing.

BAC Science is not responsible for delays caused by shipping carriers, weather, natural disasters, governmental actions, transportation interruptions, incorrect customer information, or circumstances outside our reasonable control.

Customers are responsible for providing accurate and complete shipping information.

11. Risk of Loss and Product Handling

Customers are responsible for properly receiving, inspecting, storing, handling, using, and disposing of products in accordance with applicable product documentation and law.

Products should be stored according to the storage instructions applicable to the specific product.

BAC Science is not responsible for deterioration, contamination, damage, loss, or other issues resulting from improper storage, handling, transportation after delivery, unauthorized use, or failure to follow applicable product instructions.

12. Prohibited Uses

You may not use the Site or BAC Science products:

  • For unlawful purposes;

  • To violate applicable laws or regulations;

  • To infringe intellectual-property rights;

  • To transmit malicious software or harmful code;

  • To interfere with the operation or security of the Site;

  • To obtain products through fraudulent or deceptive means;

  • To misrepresent your identity or intended use;

  • To resell products in violation of applicable law;

  • To use RUO products for human or veterinary administration or consumption; or

  • To encourage or facilitate prohibited uses of BAC Science products.

We may refuse or cancel orders where we reasonably believe a prohibited use is intended.

13. Purchaser Responsibility

You are solely responsible for determining whether your purchase, possession, storage, handling, use, transfer, or disposal of a product complies with applicable laws and regulations in your jurisdiction.

The fact that a product is displayed on the Site or available for purchase does not constitute a representation that the product may legally be purchased, possessed, shipped, or used in every jurisdiction or for every purpose.

You are responsible for obtaining any licenses, approvals, permits, registrations, or authorizations that may be required for your activities.

14. Intellectual Property

The Site and its contents, including text, graphics, logos, photographs, product descriptions, design elements, software, trademarks, trade names, and other materials, are owned by or licensed to BAC Science and are protected by applicable intellectual-property laws.

You may use the Site for lawful personal or business purchasing purposes but may not reproduce, distribute, modify, publish, commercially exploit, scrape, or create derivative works from Site content without our prior written permission.

15. Third-Party Services

The Site may use or link to third-party platforms, payment processors, shipping providers, analytics services, or other services.

BAC Science is not responsible for the availability, security, content, privacy practices, or performance of third-party services outside our reasonable control.

Your use of third-party services may be subject to separate terms and privacy policies.

16. Shopify

Our online store may be hosted or operated using Shopify.

Your information and transactions may therefore be processed through Shopify and applicable third-party service providers used to operate our ecommerce business.

Your use of those services may also be subject to their applicable terms and policies.

17. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE, ITS CONTENT, AND PRODUCTS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS EXCEPT FOR ANY EXPRESS WARRANTY SPECIFICALLY PROVIDED IN WRITING BY BAC SCIENCE.

BAC SCIENCE DISCLAIMS WARRANTIES THAT MAY OTHERWISE ARISE BY LAW TO THE MAXIMUM EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SITE WILL ALWAYS BE AVAILABLE, SECURE, ERROR-FREE, OR UNINTERRUPTED.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

18. Assumption of Risk

Laboratory and research materials may require specialized knowledge, equipment, storage, handling, and disposal procedures.

By purchasing or handling BAC Science products, you acknowledge these risks and accept responsibility for the lawful and appropriate handling, storage, use, and disposal of the products.

You assume the risks associated with any use inconsistent with product labeling, documentation, applicable law, or these Terms.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BAC SCIENCE AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, CONTRACTORS, SUPPLIERS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO THE SITE, PRODUCTS, OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BAC SCIENCE'S AGGREGATE LIABILITY ARISING FROM A PARTICULAR PRODUCT PURCHASE WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO BAC SCIENCE FOR THE PRODUCT GIVING RISE TO THE CLAIM.

These limitations do not apply where prohibited by applicable law.

20. Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless BAC Science and its owners, officers, directors, employees, affiliates, contractors, suppliers, and service providers from claims, liabilities, damages, losses, and reasonable expenses arising from or relating to:

  • Your unlawful use of the Site;

  • Your violation of these Terms;

  • Your violation of applicable law;

  • Your misuse of a BAC Science product;

  • Your use of an RUO product for a prohibited purpose;

  • Your infringement of another person's rights; or

  • Your intentional or negligent acts relating to products purchased from BAC Science.

This provision does not require indemnification to the extent prohibited by applicable law.

21. Fraud and Chargebacks

If you have a legitimate concern regarding an order, please contact BAC Science so that we have an opportunity to investigate the issue.

Fraudulent chargebacks, false claims of non-receipt, unauthorized-payment claims made by an authorized purchaser, or other abusive payment disputes may result in suspension of purchasing privileges.

BAC Science reserves the right to provide payment processors, issuing banks, financial institutions, carriers, insurers, and other relevant parties with transaction records, order information, IP and fraud-prevention information where lawfully available, tracking information, delivery confirmation, customer communications, and applicable policies when responding to a payment dispute.

Nothing in this section limits a consumer's lawful right to dispute an unauthorized or otherwise legitimately disputable transaction.

22. Privacy

Your use of the Site is also subject to our Privacy Policy, which describes how BAC Science collects, uses, and discloses personal information.

By using the Site, you acknowledge that you have had an opportunity to review our Privacy Policy.

23. Electronic Communications

By communicating with BAC Science electronically, you consent to receive transactional communications electronically, including order confirmations, shipping notifications, account communications, policy notices, and other communications relating to your transactions.

Marketing communications are subject to applicable consent and opt-out requirements.

24. Termination

We reserve the right to suspend or terminate access to the Site, customer accounts, or purchasing privileges where permitted by law, including where we reasonably believe a customer has:

  • Violated these Terms;

  • Engaged in fraudulent activity;

  • Misused our products;

  • Attempted prohibited purchases;

  • Abused payment-dispute procedures; or

  • Created a security or legal risk for BAC Science.

Provisions that by their nature should survive termination will remain effective.

25. Governing Law

These Terms and disputes arising from them will be governed by the laws of the State of California, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Nothing in these Terms deprives a consumer of protections that cannot legally be waived.

26. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.

27. No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it later.

28. Entire Agreement

These Terms, together with our Privacy Policy, Return & Refund Policy, Shipping Policy, product-specific terms, and other policies expressly incorporated by reference, constitute the agreement between you and BAC Science concerning your use of the Site and purchase of products.

29. Changes to These Terms

We may update these Terms periodically to reflect changes to our business, products, Site, or applicable requirements.

The current version will be posted on the Site with an updated “Last Updated” date.

Your continued use of the Site following an update constitutes acceptance of the revised Terms to the extent permitted by applicable law.
